Terms of Service

By using cloudPulsePoint ("Service"), you agree to the following terms. Please read them carefully.

1. Eligibility

You must be at least 13 years of age to use this service. By creating an account, you represent that you are 13 or older. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these terms. We do not knowingly collect personal information from children under 13. If we become aware that a user is under 13, we will promptly delete their account and data.

You may use cloudPulsePoint only for lawful purposes. You agree not to:

3. Account & Subscription

You are responsible for maintaining the security of your account. Subscriptions are billed monthly and renew automatically. You may cancel at any time from your account settings — cancellations take effect at the end of the current billing period.

Payments are processed by Stripe. All charges are final. We do not offer refunds for partial billing periods, except where required by applicable law or in the event of service discontinuation as described in Section 9.

4. Free Trial

New accounts on paid plans receive a 14-day free trial with access to your chosen plan's features. No credit card is required to start. At the end of the trial, your account is locked until you upgrade. Expired trial accounts and all associated data are automatically deleted 7 days after expiry.

5. Intellectual Property

cloudPulsePoint and all associated software, designs, logos, and content are owned by or licensed to us and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the service for its intended purpose. You may not copy, modify, distribute, or create derivative works from any part of the platform without our written permission. You retain full ownership of the data and monitor configurations you create within the service.

6. Service Availability

We strive for high availability but do not guarantee uninterrupted service. cloudPulsePoint is not liable for any damages resulting from service outages or monitoring failures. The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Data

You retain ownership of your data. We process it solely to provide the service as described in our Privacy Policy. Upon account deletion, your data is permanently and promptly removed.

8. Termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in abusive behaviour, or fail to pay for services. You may terminate your account at any time from your account settings.

9. Service Modifications and Discontinuation

We reserve the right to modify, suspend, or discontinue any part of the service at any time. If we reduce the monitor limits, data retention period, or check frequency of the free plan, or discontinue the free plan or the service entirely, we will provide at least 30 days' notice via email to your registered address. Paid subscribers will receive a pro-rated refund for any unused prepaid period if the service is discontinued.

10. Limitation of Liability

To the maximum extent permitted by law, cloudPulsePoint shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the service, including but not limited to lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these terms or your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless cloudPulsePoint and its owners, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the service in violation of these terms; (b) your violation of any applicable law or third-party rights; or (c) any content or data you submit to the service.

12. Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, internet or infrastructure outages, third-party service failures (including AWS), or government actions.

13. Changes to Terms

We may update these terms from time to time. Continued use of the service after changes constitutes acceptance. We will notify registered users of material changes via email.

14. Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms of Service and our Privacy Policy constitute the entire agreement between you and cloudPulsePoint regarding your use of the service and supersede all prior agreements, understandings, negotiations, and representations, whether written or oral, relating to the subject matter herein.

16. Governing Law

These terms are governed by the laws of the State of North Carolina. Any disputes arising from these terms or your use of the service shall be resolved in the courts of the State of North Carolina.
